General Terms & Conditions
These General Terms and Conditions apply to the supply and sale of goods and services by Matunda. They are deemed to be known and accepted by the customer at the time of placing an order. Any deviations from these terms must be explicitly agreed upon in a separate written agreement. These terms always take precedence over those of the customer, even if the latter states that their terms are exclusively applicable.
The potential nullity of one or more provisions of these General Terms and Conditions shall not affect the validity or applicability of the remaining clauses.
1. Orders
- Orders may be placed online via the Matunda webshop or through an authorized Matunda representative.
- The customer must provide accurate delivery and billing information and select a delivery time slot from the available options.
- Matunda reserves the right to subject the confirmation of an order to additional conditions, suspend it, or refuse it in the following non‑exhaustive cases:
- Clearly incorrect or incomplete information
- Non‑payment of previous invoices
- Unusually large quantities or suspicious order patterns
- Delivery requested in a geographic area with unreasonable transport or distribution risks
2. Cancellation
- A confirmed order may be cancelled by the customer up to 24 hours before the selected delivery time. Cancellation must be submitted in writing or electronically.
- Matunda reserves the right to cancel an order if it is based on incorrect information provided by the customer.
- In the event of non‑payment or late payment of an advance or prepayment, Matunda may consider the order cancelled without compensation to the customer.
3. Advance and Prepayment
- Matunda may request full or partial prepayment before processing an order.
- Non‑payment of the required advance automatically suspends delivery timelines.
- Unless otherwise agreed, first‑time customers must pay in full upon delivery.
4. Electronic Payment Security
- For electronic payments, the security and proper execution of the payment instruction are the sole responsibility of the financial institution handling the transaction.
- Matunda cannot be held liable for damage resulting from errors, negligence, or unlawful acts not attributable to it.
5. Delivery
- Unless otherwise agreed, Matunda is responsible for the shipment and delivery of goods.
- Delivery time slots are indicative.
- If delivery cannot occur within 3 days of the selected time slot, the customer may cancel the order free of charge and receive a refund of any amounts already paid.
- Delays do not entitle the customer to compensation.
- Delivery times lapse automatically if Matunda does not receive necessary information on time, if the customer modifies the order, or in cases of force majeure.
6. Prices
- Products are invoiced at the rates listed in the most recent price list communicated to the customer.
- All prices are expressed in euros and are exclusive of VAT and other applicable taxes unless stated otherwise.
7. Invoicing
- Unless otherwise agreed or required by law, invoices for B2B transactions may be sent electronically in a structured format compliant with applicable regulations.
- Customers are deemed aware of and agree to electronic invoicing procedures.
8. Payment Terms
- Invoices must be paid within 14 calendar days from the invoice date.
- In case of late payment:
- Statutory interest becomes due automatically, without prior notice.
- A fixed collection fee of €40 is added.
- An additional fixed indemnity of 10% of the outstanding amount (minimum €250) may be charged for collection costs.
- In case of non‑payment, Matunda may suspend further deliveries and consider the agreement legally dissolved without notice.
- First‑time customers must pay in cash upon delivery unless otherwise agreed.
9. Personal Data Protection
- Customer data is processed for contract execution, customer administration, support, sales, and accounting.
- Processing is based on contractual necessity and legitimate business interest.
- Data is retained only as long as necessary and is not shared with third parties except when required for service execution.
- Customers may request access, correction, deletion, or object to processing at any time.
10. Liability
- Matunda is not liable for indirect damages such as loss of profit, loss of opportunity, or consequential damages.
- Matunda’s liability is limited to the value of the order concerned unless mandatory law provides otherwise.
11. Competent Court
- In case of disputes, only the courts of the judicial district where Matunda has its registered office are competent.
- Belgian law applies exclusively.
12. Language
- The original language of these General Terms and Conditions is English (or specify your preferred language).
- Translations are provided for convenience only. In case of discrepancies, the original version prevails.
